Master Service Agreement (MSA)

This Master Service Agreement sets forth the general terms and conditions that apply to all services provided by CellsWeb.

1. Scope of Services

CellsWeb agrees to provide the services specifically described in one or more Statements of Work (each, a "SOW").

Each SOW shall be governed by this Agreement and will define the specific scope, deliverables, timeline, and payment terms for the respective project.

2. Payment Terms

Client agrees to pay all fees outlined in the applicable SOW. Unless otherwise specified, invoices are due within 15 days of receipt.

Late payments may incur an interest charge as detailed in the payment policy, and all work may be halted until accounts are current.

3. Warranty & Liability

We warrant that our services will be performed in a professional manner in accordance with industry standards.

Our total liability under this agreement shall be limited to the amount paid for the specific services giving rise to the claim.

Non-Disclosure Agreement (NDA)

This Non-Disclosure Agreement outlines the commitment of CellsWeb to protect the proprietary and confidential information of our clients.

1. Definition of Confidential Information

"Confidential Information" refers to any non-public data, business strategies, technical designs, trade secrets, or client data disclosed during our engagement.

Information already in the public domain or independently developed without use of the Disclosing Party's data is excluded from this definition.

2. Obligations of the Receiving Party

We agree to hold all Confidential Information in strict confidence and to take all reasonable precautions to prevent unauthorized disclosure.

Access to confidential data is strictly limited to employees or subcontractors who need the information to execute the agreed-upon project duties.

3. Term and Termination

The obligations under this agreement shall survive for a standard period of 5 years following the conclusion of any project unless otherwise stipulated.

Upon request, we will promptly destroy or return all materials containing Confidential Information, verifying the destruction in writing.
